Terms of Use

These Terms of Use govern access to residentadvisorynetwork.com and the general Resident Advisory Network service. Separate written proposals or agreements control if they conflict with these general terms.

Effective August 29, 2026

Important limitation. RAN facilitates inquiries, preliminary screening, optional opportunities, and introductions. It does not provide legal, compliance, medical, employment, tax, or institutional-approval advice.

1. Acceptance and eligibility

By using the site, creating an account, or submitting information, you agree to these terms and the Privacy Policy. You must be at least 18 and legally able to agree to these terms. If acting for an organization, you represent that you are authorized to do so. If you do not agree, do not use the service.

2. The service

RAN is a curated, human-guided network intended to facilitate structured insight engagements between healthcare Companies and physicians in training. RAN may review accounts, scope inquiries, conduct preliminary workflow triage, present proposals, offer optional opportunities, and coordinate connections. RAN may modify, suspend, or discontinue features at any time.

Verification does not guarantee that a person, organization, project, or activity is lawful, appropriate, approved, available, or suitable. A Green, Yellow, Red, “verified,” “reviewed,” or similar label is an internal workflow designation—not a legal opinion or decision by an employer, residency program, institution, regulator, or accreditor.

3. Accounts and accurate information

You must provide accurate, current information; safeguard account credentials; and promptly report suspected unauthorized access. You are responsible for activity through your account. RAN may request verification, decline registration, restrict access, or close an account for inaccurate information, misuse, risk, inactivity, or violation of these terms.

4. Prohibited use

You may not use the service to:

  • Violate law, regulation, professional duty, contract, institutional policy, or another person's rights.
  • Submit patient information, protected health information, confidential institutional or employer information, trade secrets, restricted research data, malicious code, or unlawfully obtained information.
  • Seek or provide patient-specific advice or care, emergency support, referrals, prescriptions, purchasing influence, or compensation tied to commercial outcomes.
  • Misrepresent identity, qualifications, authority, affiliation, endorsement, availability, or the purpose of an inquiry.
  • Scrape, probe, disrupt, reverse engineer, bypass access controls, or use the service to spam, harass, discriminate, or defraud.
  • Use non-public network information to identify or contact another participant outside the authorized connection process.

5. No guaranteed engagement or outcome

Registration, verification, inquiry submission, proposal acceptance, interest, review, or payment does not guarantee a match, connection, participation, result, commercial outcome, or continued access. Each participant remains responsible for independent judgment, diligence, required disclosures, permissions, and professional obligations.

6. Intellectual property

RAN and its licensors retain rights in the website, software, branding, workflows, and original content. We grant a limited, revocable, non-transferable right to use the service for its intended purpose. You retain rights in content you lawfully submit and grant RAN a limited license to host, process, transmit, and display that content as needed to operate the service. Project-specific intellectual-property rights must be addressed in the applicable written engagement terms.

7. Third-party services

The service relies on third-party hosting, authentication, database, analytics, communications, and email providers. RAN is not responsible for third-party services, policies, outages, or content outside its reasonable control.

8. Disclaimers

To the fullest extent permitted by law, the service is provided “as is” and “as available.” RAN disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and results. Some jurisdictions do not permit certain exclusions, so portions of this section may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, RAN and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, lost data, or reputational harm arising from the service. Except where prohibited by law or superseded by a signed agreement, aggregate liability arising from these general terms will not exceed the greater of $100 or the amount you paid directly to RAN for the service during the 12 months preceding the event giving rise to the claim.

10. Responsibility for misuse

To the extent permitted by law, you agree to defend and indemnify RAN and its operators from third-party claims, losses, and reasonable costs arising from your unlawful content, material breach of these terms, or misuse of the service. This provision does not require indemnification for RAN's own unlawful conduct.

11. Governing law and changes

Tennessee law governs these terms without regard to conflict-of-law rules. Subject to applicable law and any controlling written agreement, proceedings must be brought in state or federal courts serving Davidson County, Tennessee. We may update these terms prospectively by posting a revised effective date. Continued use after an update constitutes acceptance where permitted by law.
